GENERAL TERMS AND CONDITIONS

These general terms and conditions of sale and delivery shall apply to all sale of products, deliveries and other services provided by Sens4 A/S, Denmark (Hereinafter referred to as "Sens4"). Customers, terms and conditions are only applicable in whole or in part, if expressly accepted by Sens4 in writing.

PRICES and QUOTES

All prices and quotes are ex works Sens4, Hellebaek, Denmark (INCOTERMS 2010) inclusive standard packaging and exclusive shipping and transport costs unless otherwise agreed in writing.

All prices are net prices in EUR currency unless otherwise specified in writing and do not include VAT (value-added tax) or other applicable taxes, customs and duty fees as required by law.

Prices are subject to change and adjustments due to market conditions without further notice.

Written quotes are valid for 30 days and will automatically expire unless otherwise agreed and confirmed in writing. Quotes are subject to corrections due to errors.

TERMS OF DELIVERY

Sens4 will endeavor to deliver in accordance with the confirmed delivery date. If Sens4 should become aware that the delivery cannot be fulfilled to the confirmed delivery, Sens4 shall notify the customer thereof and provide a revised delivery date.

Transfer of risk, insurance and transport for the products to the customer takes place when the products are ready for shipping. Sens4 will select the shipping method unless the customer has specified shipping method and carrier.

TERMS OF PAYMENT

Terms of payment are 30 days net or COD (Cash on Delivery).

For customers that have been credit approved by Sens4, payment shall be made within thirty (30) days of the invoice date without any deduction.  Payment shall be made by bank wire transfer to the bank account of Sens4 in Nordea Bank Danmark A/S.

WARRANTY

Sens4 warrants its products under normal use and service to be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of the delivery.

Warranty does not cover mechanical damage, corrosive damage, physical contamination, deposition contamination, damage caused by shipping, normal wear and tear, incorrect use, misuse, incorrect installation or operation beyond the published design limits and specifications.

In case of warranty claim the customer should notify Sens4 immediately and no later than 3 weeks after the defect has been discovered. The warranty claim must specify the failure mode and other relevant information about the product defect and the application use. Sens4 can request return of a failed product for examination and root cause analysis that arises from a warranty claim. Sens4 will at its discretion credit, repair or replace the failed products that are accepted to be covered by warranty. 

Warranty void, regardless of the root cause of defect, if a product has been exposed to or contaminated with radioactive, chemical, biological and other harmful or dangerous substances.

Warranty does not apply to products that has been hardware modified, altered or dismantled by the customer or third party. 

Software provided by Sens4 is supplied “as is” without warranty of any kind or guaranteed compatibility with customer IT systems and environment.

RETURNS

All returns to Sens4 must be authorized by Sens4 by issuing an RMA (Returned Material Authorization) prior to shipping. Contact Sens4 support to obtain an RMA number.

Sens4 will not accept return of products that have been exposed to or contaminated with radioactive, chemical, biological and any other harmful or dangerous substances.

Return of unpacked and unused products for credit requires written acceptance from Sens4 and will be subject to a handling fee.

LIABILITY

The customer is solely responsible for determining the suitability and compatibility of the product for the customers application, environment and intended use. Sens4 is not liable for any claims arising from improper use, incorrect installation or use with gases or liquid not compatible with the media wetted materials described in the specifications table. To the extent permitted by law, Sens4 is not liable for incidental and consequential damages, including but not limited to loss of profits or revenue, overheads, loss of data, reinstallation costs, damage to other equipment or any incidental or consequential damages of any nature.

COPYRIGHT

Material published by Sens4 including, but not limited to, website, datasheets, user manuals and technical papers is protected by copyright laws. Material and content may be used or downloaded for personal or non-commercial use. Commercial use, modification, further reproduction, republishing or distribution of material published by Sens4 is not permitted without written permission from Sens4.

PUBLISHED INFORMATION

Sens4 has taken reasonable care to ensure that the content of its published information and specifications is accurate and up-to date. However, Sens4 does not guarantee or warrant that the content of the published information is error-free. Sens4 reserves the right to change its product specifications without prior notice.

TRADE RESTRICTIONS and EXPORT LIMITATIONS

Sens4 products and software may be subject to European Union and/or Danish trade and transfer laws and restrictions. In the event that the product is exported, transferred or in any way distributed to another country or territory than delivered to by Sens4, the customer is responsible for compliance to export restrictions, regulations or applicable law of Denmark, local law and/or the law of European Union.

FORCE MAJEURE

Sens4 shall not be liable for any delay in delivery or failure to deliver products due to circumstances beyond our control including, but not limited to, fire, floods, storm, natural disasters, embargo, strike, war or military mobilization, act of terrorism, accidents, unforeseeable delay of materials from suppliers, breakdown of production equipment or acts of God.

DISPOSAL

At the end of life of this product, it must be disposed according to European Directive 2012/19/EU (WEEE). This product should not be mixed with general household waste. For proper treatment, recovery and recycling, please take this product to designated collection points. Contact local authority for further details of your nearest designated collection point.

PRIVACY 

Personally, identifiable data such as, but not limited to, company name and individual name is only obtained when customers actively provides such information to Sens4. Such data is only used for the purpose to service the customers of Sens4 and to conduct our business. Personal data will not be shared with third parties except what is necessary to conduct our business or as required by Danish government authorities or law enforcement.

GOVERNING LAW and JURISDICTION

These terms and its content shall be governed by and interpreted in accordance with the Laws of Denmark.
