TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale (hereinafter referred to as "Terms") govern the sale of products, services, and deliveries provided by Sens4 A/S, Denmark (hereinafter referred to as "Sens4"). By placing an order with Sens4, the customer agrees to be bound by these Terms. Any deviations or additions to these Terms shall only be valid if explicitly accepted in writing by Sens4.

1. PRICES AND QUOTATIONS

1.1 All prices are stated Ex Works (EXW) Sens4, Hellebaek, Denmark (INCOTERMS 2010), inclusive of standard packaging and exclusive of shipping, transport costs, VAT, customs, and other applicable taxes, unless otherwise agreed in writing.

1.2 Prices are provided in EUR unless explicitly stated otherwise. Written quotations are valid for 30 days from the date of issuance, unless otherwise agreed in writing.

1.3 Sens4 reserves the right to adjust prices due to market conditions or clerical errors without prior notice.

2. TERMS OF DELIVERY

2.1 Sens4 strives to meet confirmed delivery dates but shall not be held liable for delays. In the event of a delay, Sens4 will notify the customer and provide a revised delivery schedule.

2.2 Risk, insurance, and transport responsibilities are transferred to the customer once the products are ready for shipment. Unless otherwise instructed by the customer, Sens4 will select the shipping method and carrier.

3. TERMS OF PAYMENT

3.1 Payment terms are net 30 days from the date of invoice unless otherwise agreed in writing. Payment must be made via bank wire transfer to Sens4’s designated account.

3.2 For non-credit-approved customers, payments shall be made in advance or on a cash-on-delivery (COD) basis.

4. WARRANTY

4.1 Sens4 warrants its products to be free from defects in materials and workmanship under normal use for a period of 24 months from the delivery date.

4.2 The warranty does not cover damage resulting from misuse, improper installation, operation beyond design specifications, contamination, normal wear and tear, or exposure to hazardous substances.

4.3 Customers must notify Sens4 of warranty claims within three weeks of discovering a defect. Sens4 reserves the right to examine the returned product to determine the warranty’s applicability. At its discretion, Sens4 will repair, replace, or credit defective products covered under warranty.

4.4 The warranty is void if the product has been altered, dismantled, or modified without Sens4’s authorization.

5. RETURNS

5.1 Returns require prior authorization from Sens4 through a Returned Material Authorization (RMA). Products returned without an RMA will not be accepted.

5.2 Returns of unused and unpacked products for credit may be accepted at Sens4’s discretion and are subject to a handling fee. Products exposed to hazardous materials are not eligible for return.

6. LIABILITY

6.1 The customer is solely responsible for determining the suitability and compatibility of Sens4’s products for their intended use.

6.2 Sens4 is not liable for incidental or consequential damages, including but not limited to loss of profits, data, or equipment, arising from the use or inability to use its products.

6.3 Sens4’s liability is limited to the invoiced value of the products supplied.

7. COPYRIGHT

7.1 All materials published by Sens4, including but not limited to user manuals, datasheets, and technical papers, are protected by copyright laws.

7.2 These materials may not be reproduced, distributed, or used for commercial purposes without Sens4’s explicit written consent.

8. PUBLISHED INFORMATION

8.1 While Sens4 makes every effort to ensure the accuracy of published information, it does not guarantee error-free content. Sens4 reserves the right to change specifications and documentation without prior notice.

9. TRADE RESTRICTIONS AND EXPORT LIMITATIONS

9.1 Sens4 products are subject to Danish and European Union export control laws. Customers are responsible for ensuring compliance with applicable export regulations when transferring or distributing products.

10. FORCE MAJEURE

10.1 Sens4 is not liable for delays or non-performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, wars, supply chain disruptions, or acts of God.

11. DISPOSAL

11.1 Products must be disposed of in accordance with the European Directive 2012/19/EU (WEEE). Customers are responsible for ensuring proper recycling through designated collection points.

12. PRIVACY

12.1 Sens4 collects personal data provided by customers solely for business operations. Such data is not shared with third parties unless required for business purposes or by law.

13. GOVERNING LAW AND JURISDICTION

13.1 These Terms are governed by and interpreted under the laws of Denmark. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Danish courts.
